This End User License Agreement ("Agreement") is between you ("Licensee") and Cloudnate ("Licensor") for use of the Chimp Security Workbench software ("Software"). By installing or using the Software you agree to these terms.
Subject to the terms of this Agreement and payment of any applicable fees, Cloudnate grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the number of machines permitted by your license tier, solely for your personal security research, testing, and professional work.
The Pro license key may be activated on up to 2 machines simultaneously. Exceeding this limit may result in the key being deactivated on older devices.
The following actions are expressly prohibited and will result in license revocation without refund.
The Software, including all source code, documentation, AI prompt templates, and associated materials, is the exclusive property of Cloudnate and is protected by copyright and other intellectual property laws. This Agreement grants you no ownership rights in the Software.
Content you create using the Software (project data, notes, reports, My Topics entries) remains your property.
The Software uses third-party AI APIs (Anthropic, OpenAI, and others) to generate knowledge content. AI-generated content is provided "as is" for informational and research purposes. Cloudnate makes no warranty as to the accuracy, completeness, or fitness for any particular purpose of AI-generated content. You are responsible for verifying any security advice, vulnerability information, or technical guidance before acting on it.
Pro license holders receive all future updates to the Software at no additional charge for the lifetime of the v1.x release series. Major version upgrades (v2.0 and beyond) may require a new license purchase. Cloudnate reserves the right to determine what constitutes a major version change.
If you are not satisfied with the Software, you may request a full refund within 14 days of purchase, provided you have not exceeded 3 AI API calls using the Software. Requests after this period or after significant use will not be eligible for a refund. Contact us at cloudnate.com to initiate a refund.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CLOUDNATE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLOUDNATE DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUDNATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF CLOUDNATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CLOUDNATE'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.
This Agreement is effective until terminated. Your license terminates automatically if you breach any provision of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Cloudnate may also terminate your license for any reason upon written notice, in which case a pro-rata refund of any prepaid fees will be provided.
This Agreement is governed by the laws applicable in the jurisdiction where Cloudnate is registered, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of that jurisdiction.
